Terms of Sale

Please read these Terms of Sale carefully before ordering products online from the Emi Woo platform. Please note that these Terms of Sale include the additional terms incorporated herein by reference.

Applicability

You are reading these Terms of Sale (“Terms of Sale”) because you are using an Emi Woo website, digital experience, social media platform, or one of our other products or services, all of which are part of the Emi Woo platform (“Platform”). These Terms of Sale create a legally binding agreement between you and Emi Woo and its affiliates (which we may refer to as “Emi Woo,” “we,” “us,” or “our”) regarding orders placed for products available on the Platform. We may revise these Terms of Sale without prior notice by posting revised Terms of Sale on the Platform. The Terms of Sale posted on the Platform at the time you place your order on the Platform will govern that purchase. Please read these terms carefully and check that the details of your order are complete and accurate before submitting your order. The Emi Woo Terms of Use are incorporated herein by this reference.

Please refer to our Privacy Policy for information about how we collect, use and disclose information about you.

By placing an order on the platform, you accept and are bound by these Terms of Sale.

Placing Orders on the Platform

Eligibility to Order

To place an order on the Platform, you must be 18 years of age or older.

No Purchase for Resale

The Platform is intended solely for Emi Woo to sell Emi Woo products direct to end consumers, and therefore purchase of products for resale is strictly prohibited. Purchase for resale means the purchase of an Emi Woo product by someone who resells, or intends to resell, the Emi Woo product to others (consumers, businesses or any third party). If Emi Woo believes you are involved in purchase for resale, Emi Woo reserves the right to take any action against you, including, without limitation, to restrict sales to you, cancel your orders, and/or suspend or close your account.

How to Order

You need an e-mail address to place an order. While certain essential cookies may be required for the website to function properly, you can access and use all core functionalities of the Platform without accepting non-essential cookies. You may also need to enable pop-ups in your browser to complete certain actions on the Platform. When you submit an order we will send you an e-mail acknowledging receipt of your order and will process the payment. We will send you an e-mail confirming that the products have been shipped (“Confirmation”). We recommend that you print or download a copy of these Terms of Sale and the relevant Confirmation for future reference. If we are unable to supply you with a product, we will inform you of this in writing and will not process the order.

Our Right to Reject or Cancel Your Order

Fulfillment of all orders on the Platform is subject to availability. We reserve the right to refuse acceptance of your order for any reason. We also reserve the right to cancel an order by written notice to you in the following situations, without being liable for any damage or costs other than repayment of any amount received from you in relation to the order we canceled:

  • the product is not available/in stock;
  • your billing information is not correct or not verifiable;
  • your order is flagged by our security systems as an unusual order or an order susceptible to fraud;
  • your bank transfer payment is not received after acceptance of your order;
  • we believe you are under 18 years of age;
  • we believe that you are a reseller;
  • there was an error in the price displayed on the Platform;
  • we could not deliver to the address provided by you;
  • due to an Event Outside Our Control (see below); or
  • in the event of misspelling, pricing, or other errors or mistakes in the Platform information.

Title Transfer

The risk of loss and title for products purchased from Emi Woo pass to you upon our delivery to the carrier.

Price & Payment

Promotions and Coupons

If using a promotional, coupon, or discount code (collectively, a “Discount Code”), the Discount Code must be entered during checkout in the designated “Discount Code” field in order to redeem the applicable offer. Discount Codes may not be combined with other Discount Codes or promotional offers and are limited to one (1) Discount Code per order unless otherwise expressly stated. Items purchased using a Discount Code are final sale and are not eligible for return, exchange, or refund, except where required by applicable law. Discount Codes may not be redeemed for cash, credit, or refund. Additional terms and conditions may apply to specific promotions. Emi Woo reserves the right to restrict the use of Discount Codes on certain products, shipping charges, weight-based fees, destination fees, and expedited shipping charges.

Payment Methods

You can find the available payment methods during the checkout process. We do not accept any method of payment other than those listed on that page. Please do not try to pay by any other way than specified there. If you do, we will not be liable for loss of the payment or any other damages that may result from this action.

Payment Processing

If you pay by credit/debit card, we will deduct the amount due from your account at the time you place your order. In the event that no payment has been received after we accept your order, your purchase will automatically be canceled. Payments can only be processed if the billing information can be verified. By providing a credit card or other payment method that we accept, you represent and warrant that you are authorized to use the designated payment method and that you authorize us, or our third-party payment processors (including, without limitation, PayPal and Shopify), to charge your payment method for the total amount of your purchase (including any applicable taxes and other charges). Payments may be processed through such third-party payment processors, and your use of those payment services may be subject to the applicable terms, conditions, and privacy policies of those providers. By submitting your payment information, you agree to be bound by the applicable terms of such third-party payment processors. If the payment method cannot be verified, is invalid or is otherwise not acceptable, we will take one of the following actions:

  1. Notify you and suspend your order until payment is received, or
  2. Cancel your order.

Prices and Currency

The product prices displayed on the Platform do not include sales tax. Sales tax may apply depending on the country and state of delivery and will be displayed before confirming your order on the Platform.

The product prices displayed on the Platform reflect any credit card fees applicable to us. Shipping rates are applied per order. Free standard shipping is offered on all orders delivered within the continental United States. Express shipping options may also be available, and the applicable shipping cost will be calculated and displayed at checkout based on factors such as delivery address and selected shipping method. Shipping rates for orders outside the continental United States, or for expedited delivery options, may vary and will be displayed before you confirm your order on the Platform. Delivery timelines for standard and express shipping are estimates only and are not guaranteed.

For convenience, the Platform may use geo-targeting or similar technology to display prices in your local currency based on your location or selected delivery country. Any such currency display is provided for informational purposes only. All payments will be processed in USD, and the final amount charged may vary depending on the exchange rate applied by your payment provider or financial institution. Changing the country of delivery while browsing or during checkout may result in prices being displayed in a different currency and may impact the price due to currency conversion or country-specific pricing.

Your Total Price

The total price specified in the final checkout screen includes tax and shipping costs as stated above. This price will be recorded in the Confirmation, which we recommend you print or download for future reference. If paying by credit card, the total amount for your entire order will be reflected on your statement in your local currency.

If your local currency is different from the currency in which the prices are quoted, your bank will apply the exchange rate applicable per the date of purchase. Your bank may apply a different exchange rate, which is beyond our control.

Local import duties and additional charges may be payable by you on receipt depending on the location of delivery. You are responsible for any import duties and clearance fees (where applicable) in your country and to check the duties and clearance fees with your local authorities.

Price Changes

The prices of the products will be as displayed on the Platform. Prices may change from time to time, but changes will not affect any order which we have confirmed in an Order Confirmation.

Shipping & Delivery

Shipping & Delivery — Where and When

We do not ship to all locations. We process and ship orders Monday — Friday, excluding holidays. Please allow 5–7 calendar days for orders to be processed before shipping. Your order may take longer to ship due to high order volume or special product releases. You will receive a notification and tracking number via e-mail once a tracking number has been created. It may take a few days for tracking to update, depending on the carrier and delays they are experiencing. We can only fulfill an order to a delivery address which is a home or office address.

Split Delivery

Where possible, we try to deliver all items which you have ordered at the same time. However, please note that we reserve the right to split the delivery of your order, for instance if part of your order is delayed or unavailable. In the event that we split your order, we will notify you of our intention to do so by sending you an e-mail to the e-mail address provided by you at the time your order was placed. You will not be charged for any additional delivery costs arising solely out of split deliveries.

Inspection Upon Delivery; No Warranty

Upon delivery, please inspect the packaging for damage. If the products are damaged, please contact us at support@emiwoo.com within 72 hours after delivery. To process the complaint, we may request evidence of the damage upon delivery, including photos. All products are provided as-is and we disclaim any warranties, express or implied, as to the product, including fitness for a particular purpose.

Cancellations, Changes, & Returns

Canceling or Changing Order Before Shipment

If you decide to cancel or modify your order, please contact us within one (1) hour of your order being placed at support@emiwoo.com. You will need to provide your name, email, and order confirmation number as well as any additional information we deem necessary to identify the purchase and validate your identity. We will do our best to cancel the order or make the change; however, we cannot guarantee any cancellation or change after an order is placed. PLEASE NOTE: During times of high order volume, including, without limitation, Pride Month, Black Friday, Cyber Monday, store sales, etc., we are unable to process order cancellations or changes. If your order is successfully canceled, we will send you an e-mail with the cancellation details. If cancellation is not possible, the product(s) will be delivered to you and may be returned in accordance with the procedure set out below.

We are not responsible for any address errors or order delays after your package is shipped.

Returning Orders After Shipment

We allow returns of full price products within 14 calendar days of when your order is shipped. To be eligible for a return, the product(s) must be in the same condition that you received it, unworn or unused, unwashed, unaltered, undamaged, with all original tags attached, and in its original packaging. If we determine, at our sole discretion and upon inspection, that any product(s) are not in original condition, a refund or exchange will not be granted and the product(s) will be returned to you. If we determine, at our sole discretion and upon inspection, that the product(s) are eligible for return, we will refund the cost of the product less any shipping costs to your original form of payment.

Certain products are not eligible for return, including, but not limited to, gift cards and products purchased on sale (including final sale) or with the use of a Discount Code. Non-returnable products are not eligible for refund, exchange, or store credit.

Returning Orders After Delivery — Defective Products

You are entitled to return products delivered to you in the event that they are defective or otherwise not in conformity with your order when you received them. This does not affect your statutory rights. In the event your claim is justified, the purchase price will be refunded.

Refund Information

Refunds will be issued based on the original form of payment. Depending on your payment provider, it may take 21 business days after your return is received and processed for the refunded amount to be reflected on your payment account.

Conditions Applicable to Pre-Ordered Products

Pre-order is the process by which you are able to order a product in advance of the scheduled retail launch. Due to the nature of preordering, the following specific conditions apply to pre-ordered products:

  • Pre-ordered products are targeted to be delivered before the retail launch date, provided that we have received your payment at least one week before such date. Concrete delivery times depend on the moment the product is available in our warehouse. Standard delivery timelines will apply from the moment the pre-ordered product is available in our warehouse. This information is best estimates only, so timelines are not binding.
  • Your payment will be deducted as soon as the order is received (or, in the event of bank transfer, as soon as possible). We will not start the execution of your order prior to having received payment. For bank transfers this may mean that delivery will be later than set out under the bullet point above.

The scheduled retail launch date (product launch) for your pre-order product can be found in the product description page on the Website.

Events Outside Our Control

An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks.

If an Event Outside Our Control takes place that affects the performance of our obligations under these Terms of Sale:

  • We will contact you as soon as reasonably possible to notify you; and
  • Our obligations under these general conditions will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control.

Where the Event Outside Our Control affects our delivery of a product to you, we will arrange a new delivery date with you after the Event Outside Our Control is over. You may cancel your order if an Event Outside Our Control takes place and you no longer wish us to provide the products. Please see your cancellation rights under Cancellations, Changes, & Returns above.

Other Important Terms

The images of the products on our Platform are for illustrative purposes only. Although we have made every effort to display the colors accurately, we cannot guarantee that a device's display of the colors accurately reflects the colors of the products. Certain products may be temporarily unavailable or not currently displayed on the Platform. If you cannot find the style, color, or size you are looking for, you may opt to receive a notification if the product becomes available by selecting the “Notify Me” option on the product page. Emi Woo does not warrant that product images, product descriptions, or other content on the Platform are accurate, complete, reliable, current, or error-free.

We may transfer our rights and obligations under a contract to another organization, but this will not affect your rights or our obligations under these Terms of Sale. You may only transfer your rights or your obligations under these Terms of Sale to another person if we agree in writing.

Each of the paragraphs of this Terms of Sale operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

If we fail to insist that you perform any of your obligations under these Terms of Sale, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you. We will not file a copy of the contract between us.

Additional Terms for Customers Located in the European Union and United Kingdom

The terms below are intended to ensure compliance with EU and UK consumer protection law for customers ordering from those regions.

Applicability of This Section

The terms set out in this section apply in addition to the Terms of Sale above where you are a consumer (as defined under applicable EU or UK consumer protection law) and the country of delivery is a Member State of the European Union or the United Kingdom. Where any term in this section conflicts with a term elsewhere in these Terms of Sale, the terms in this section will prevail for EU and UK consumers.

Right of Withdrawal (14-Day Cooling-Off Period)

If you are a consumer in the EU or UK, you have the right to withdraw from the contract within fourteen (14) calendar days of the day on which you, or a third party indicated by you (other than the carrier), takes physical possession of the goods, without giving any reason.

To exercise the right of withdrawal, you must inform us of your decision to withdraw from the contract by an unequivocal statement (for example, a letter sent by post or email to support@emiwoo.com). You may, but are not required to, use the model withdrawal form set out at the end of this section. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal. If you withdraw from the contract, we will reimburse all payments received from you, including the costs of standard delivery (but excluding any supplementary costs arising if you chose a type of delivery other than the least expensive standard delivery offered by us), without undue delay and in any event no later than fourteen (14) calendar days from the day on which we are informed of your decision to withdraw. We will carry out the reimbursement using the same means of payment as you used for the original transaction, unless you expressly agree otherwise. You will not incur any fees as a result of the reimbursement.

We may withhold reimbursement until we have received the goods back or until you have supplied evidence of having returned the goods, whichever is earliest.

You must send the goods back to us without undue delay and in any event no later than fourteen (14) calendar days from the day on which you communicate your withdrawal. The deadline is met if you send the goods before the period of fourteen (14) days has expired. You will bear the direct cost of returning the goods. You are liable only for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

Exceptions to the Right of Withdrawal

Pursuant to applicable EU and UK consumer law, the right of withdrawal does not apply, among other limited circumstances, to:

  • goods made to your specifications or clearly personalized;
  • sealed goods that are not suitable for return for hygiene or health-protection reasons and that have been unsealed after delivery.

If you are a consumer in the EU, we are obliged by law to deliver goods that are in conformity with the contract. You benefit from a statutory legal guarantee of conformity of at least two (2) years from delivery of the goods, in accordance with Directive (EU) 2019/771 and the national laws of the Member State of your habitual residence.

If you are a consumer in the United Kingdom, you benefit from rights under the Consumer Rights Act 2015, including that goods must be of satisfactory quality, fit for purpose, and as described.

In the event that the goods you receive are not in conformity with the contract, you may be entitled to have the goods repaired or replaced, to a proportionate price reduction, or to rescind the contract, in accordance with applicable law. The “as-is” disclaimer and exclusion of warranties set out elsewhere in these Terms of Sale do not apply to you to the extent they would limit your statutory rights as a consumer under applicable EU or UK law.

Pricing and VAT

For deliveries within the EU and UK, prices displayed at checkout are inclusive of any applicable VAT, calculated at the rate of the country of delivery. For orders below the applicable threshold and where eligible, we may collect VAT at the point of sale under the EU Import One-Stop Shop (IOSS) regime, and no additional VAT will be charged on delivery.

Delivery Period

Where you have not agreed a specific delivery date with us, we will deliver the goods without undue delay and in any event no later than thirty (30) days after the conclusion of the contract, unless prevented by an Event Outside Our Control.

Online Dispute Resolution (EU Consumers)

In accordance with Regulation (EU) No 524/2013, the European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. You may use this platform to resolve disputes arising from online purchases. We are not obliged to participate in alternative dispute resolution proceedings and prefer to resolve any concerns with you directly. Please contact us first at support@emiwoo.com.

Mandatory Consumer Protections

Nothing in these Terms of Sale affects the mandatory provisions of consumer protection law of the country in which you have your habitual residence as a consumer, where such provisions provide you with greater protection than the law that would otherwise apply.
